1. Definitions
4Property means the service provider. The Client means O’Connor Estate Agents and the person or organisation accepting the proposal. Services means the website, support, development, marketing, automation, AI, design and related services described in this proposal.
2. Basis of agreement
The agreement begins when the Client confirms acceptance in writing, instructs 4Property to proceed or pays any deposit or first invoice.
3. Scope
Work is limited to the scope confirmed in the accepted proposal. Additional pages, integrations, content, revisions, migration, development or third-party work may be quoted separately.
4. Client responsibilities
The Client will provide timely access, content, brand assets, approvals, DNS or hosting credentials where required, and accurate information.
5. Fees and payment
All prices exclude VAT. Project work normally requires a 50% deposit before commencement, with the balance due before or at launch unless agreed otherwise. Payment terms are 14 days unless stated otherwise.
6. Proposal validity
This proposal is valid for three months from September 2026. Pricing and availability may be reviewed after that date.
7. Timelines
Any timeline provided is an estimate. Delays caused by missing content, late approvals, unavailable access, third-party platforms or circumstances outside 4Property’s reasonable control may move the delivery date.
8. Hosting and third-party services
Websites and integrations may rely on hosting providers, domain registrars, feed providers, Google, Meta, Acquaint CRM, Property Drive, Go High Level, AI providers and other third parties.
9. Performance and marketing outcomes
4Property does not guarantee particular rankings, traffic levels, leads, valuations, instructions, sales, advertising results, response rates or return on investment.
10. AI outputs
AI-generated responses can occasionally contain inaccuracies. The Client is responsible for reviewing approved knowledge, content, configuration and ongoing responses.
11. Data protection
Both parties will comply with applicable data protection law. The Client is generally the data controller for its customer and enquiry data.
12. Intellectual property
Once all project fees are paid, the Client may use the final agreed website outputs for its own business. 4Property retains ownership of its underlying themes, frameworks, reusable code, systems, methods and know-how.
13. Support and maintenance
Included support is limited to the support level stated in the accepted proposal. Additional development, content work, integrations or out-of-scope changes may be charged.
14. Termination
Ongoing services continue on the agreed monthly basis unless terminated with the required notice. Outstanding invoices remain payable on termination.
15. Liability
Nothing limits liability that cannot legally be limited. Subject to that, 4Property is not liable for indirect loss, loss of profit, loss of business, loss of goodwill or loss of anticipated marketing outcomes.
16. Indemnity
The Client will indemnify 4Property against claims arising from materials, data, content, instructions or third-party rights supplied by the Client.
17. Confidentiality
Both parties will keep confidential any non-public commercial, technical or operational information received during the engagement.
18. Force majeure
Neither party is responsible for delay or failure caused by events outside reasonable control.
19. Governing law
These terms are governed by the laws of Ireland and the Irish courts have jurisdiction over disputes.
