In these Terms & Conditions (“Terms”):
1.1 “4Property”, “we”, “us”, “our” means 4Property (trading name of [Legal Entity], registered in Ireland, company number [●]).
1.2 “Client”, “you”, “your” means the company or individual purchasing services from 4Property.
1.3 “Services” means any services supplied by 4Property, including (but not limited to):
1.4 “Proposal” means the written or electronic document issued by 4Property setting out the scope of work, deliverables, timeframe and pricing for specific Services.
1.5 “Agreement” means the contract between 4Property and the Client consisting of these Terms and the applicable Proposal(s), once accepted by the Client in accordance with clause 2.
1.6 “Third-Party Services” means services provided by external suppliers including, but not limited to, hosting providers (e.g. DreamHost, Cloudflare), Acquaint CRM (software provided by Bright Logic Limited), Go High Level (used for 4Nurture), domain registrars, email service providers, Google, Meta (Facebook/Instagram) and other software or tools used in delivering the Services. acquaintcrm.co.uk
1.7 “Acquaint CRM” means the property CRM software and related services provided by Bright Logic Limited, which 4Property resells and configures for Clients but does not own or control.
1.8 “iPPi” means the property data and analytics platform owned by 4Property (or its group), which may be sold or bundled as a standalone product or as part of 4Val and other Services.
2.1 These Terms apply to all Services supplied by 4Property unless otherwise agreed in writing. They should be read together with the applicable Proposal.
2.2 A binding Agreement is formed when:
2.3 By proceeding to pay any deposit or first monthly fee, you are deemed to have accepted both the Proposal and these Terms in full.
2.4 If there is any conflict between these Terms and the Proposal, the Proposal takes precedence for that specific project.
2.5 We may update these Terms from time to time. Updated Terms will apply to new Proposals issued after the date of change.
3.1 The scope of Services is defined in the Proposal. Any work outside that scope will be treated as additional services and may be quoted and charged separately.
3.2 Unless expressly stated in the Proposal, Services do not include:

The final configuration may vary based on performance, platform changes or best practice at the time of implementation.
4.1 You agree to:
4.2 Where 4Property provides template content, example wording or sample disclaimers, you remain responsible for ensuring that such content is appropriate for your business and compliant with your PSRA, legal, regulatory and professional obligations.
4.3 You are responsible for the security of your own systems, passwords, staff access and local devices.
4.4 Website forms, 4Val, 4AI and enquiry testing
It is the Client’s ongoing responsibility to ensure that all key aspects of their website and connected tools are working correctly, including but not limited to:
We strongly recommend that you test all enquiry emails and forms on your site at least once per month.
Any issues, bugs or suspected faults must be reported without delay by email to help@4property.com. 4Property will not be responsible or liable for any loss of leads, valuation requests, bids, enquiries or business arising from:
5.1 Fees are as outlined in the Proposal and/or pricing schedule (e.g. 4Sites, 4Market, 4Nurture, 4Val, 4AI, Acquaint, iPPi). All prices are exclusive of VAT, which will be added at the applicable rate.
5.2 Project / setup fees (e.g. for 4Sites development, 4AI setup, 4Nurture setup, 4Val implementation, Acquaint installation) are typically invoiced as follows unless stated otherwise in the Proposal:
5.3 Ongoing monthly fees (e.g. hosting, 4Market retainers, 4Nurture subscriptions, 4Val, 4AI, Acquaint licences, iPPi subscriptions) are invoiced monthly in advance and payable by direct debit or bank transfer, unless otherwise agreed.
5.4 Payment terms are 14 days from invoice date unless otherwise agreed in writing.
5.5 If any amount is not paid by the due date, we may:
5.6 Discounts (e.g. 4Sites Value Packages, 4Market package savings, bundle discounts on 4Val/4AI/4Nurture) only apply where all related Services remain active and paid. If a component is cancelled or downgraded, we reserve the right to revert pricing to the applicable standard rate.
6.1 We will use reasonable endeavours to meet any timelines agreed in the Proposal, but dates are estimates, not guarantees.
6.2 If you are delayed in providing content, approvals, access or input, this may delay delivery. We are not responsible for delays caused by Client actions or inaction, Third-Party Services, or factors outside our reasonable control (e.g. platform outages, network or power issues, major changes by Google/Meta, etc.).
6.3 In the case of website projects, if a project becomes inactive for more than 60 days due to lack of Client input, we reserve the right to:
7.1 For hosting and infrastructure, 4Property may use third-party providers such as DreamHost, Cloudflare and other reputable suppliers.
7.2 4Property also resells and configures Acquaint CRM for Clients. While we provide implementation, support and training in Ireland, the underlying software, hosting and infrastructure for Acquaint CRM is operated and controlled by Bright Logic Limited in the UK. acquaintcrm.co.uk
7.3 While iPPi is owned by 4Property (or its group), it may rely on third-party data sources, APIs, portals and other external systems which are outside our direct control.
7.4 Whilst we only work with providers that offer strong uptime and reliability, no hosting or software provider can guarantee 100% uptime. Scheduled maintenance, unexpected outages or network issues may occur.
7.5 4Property will not be liable for:
7.6 For Acquaint CRM, iPPi, Go High Level (used in 4Nurture) and any other Third-Party Services, you acknowledge that:
Your use of Acquaint CRM and any other such Third-Party Services is in addition to, not instead of, their own vendor terms.
8.1 Digital marketing (4Market), automation (4Nurture), valuation tools (4Val), AI (4AI), online bidding (4Bids), iPPi and Acquaint CRM all involve external factors: competition, market conditions, platform algorithms, portal behaviour, user behaviour and economic conditions.
8.2 While we work to best practice and will use reasonable skill and care, 4Property does not guarantee:
8.3 We will provide reporting and recommendations and may adjust campaigns, funnels and messaging over time. It is your responsibility to ensure your internal processes (e.g. answering calls, following up leads, booking valuations, progressing bids in 4Bids, using Acquaint CRM correctly) support these efforts.
9.1 Both parties agree to comply with applicable data protection laws, including the EU/UK GDPR where relevant.

11.1 Both parties agree to keep confidential all non-public business, technical or commercial information obtained from the other party in connection with the Agreement.
11.2 These obligations do not apply to information that is or becomes public (other than through breach), is already known to the receiving party, or is independently developed without reference to the confidential information.
12.1 For 4Sites hosting & maintenance, 4Nurture, 4Val, 4AI, 4Bids, iPPi and 4Market, the Proposal will set out the level of ongoing support included (e.g. email support, minor content changes, response times).
12.2 Work outside the included support scope (such as major redesigns, additional integrations, new features, or emergency work caused by Client changes) may be chargeable at our then-current rates.
12.3 Issues relating to Third-Party Services (including Acquaint CRM, portals, ad platforms and data providers) may take longer to resolve and are subject to the provider’s own response times and SLAs.
12.4 Reporting issues
All support queries, bug reports and issues relating to your website, 4Sites, 4Val, 4AI, 4Bids, 4Nurture, iPPi or any related Services must be reported by email to help@4property.com. 4Property will not be responsible for any loss arising from issues that are not reported to this address, or which are reported significantly after the issue first arose.
13.1 The Agreement for project work (e.g. a 4Sites build) continues until the Services in the Proposal are delivered and all fees paid.
13.2 Ongoing Services (e.g. hosting, 4Market, 4Nurture subscriptions, 4Val, 4AI, 4Bids, Acquaint, iPPi) continue on a rolling monthly basis, subject to any minimum term specified (e.g. 6-month commitment for 4Market packages).
13.3 Either party may terminate ongoing Services:

14.1 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under Irish law.
14.2 To the fullest extent permitted by law, 4Property shall not be liable for:
14.3 Save for clause 14.1, 4Property’s total aggregate liability arising out of or in connection with the Agreement (whether in contract, tort or otherwise) shall be limited to the total fees paid by you to 4Property in the 12 months immediately preceding the event giving rise to the claim.
15.1 You agree to indemnify and hold harmless 4Property against any claims, losses, damages, costs or expenses arising from:
16.1 Neither party shall be liable for any delay or failure to perform obligations under the Agreement if such delay or failure is due to events beyond their reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, industrial disputes, failures of utility services, local power surges or outages, major internet or cloud provider outages, or changes in law or regulation.
17.1 During the term of the Agreement and for 12 months afterwards, you agree not to knowingly solicit for employment any key 4Property staff who have been directly involved in delivering the Services, without our prior written consent.
18.1 These Terms and the Agreement are governed by the laws of Ireland.
18.2 The parties agree to submit to the exclusive jurisdiction of the Irish courts in relation to any dispute arising out of or in connection with the Agreement.
19.1 If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
19.2 You may not assign or transfer your rights or obligations under the Agreement without our prior written consent. We may assign or subcontract parts of the Services to trusted partners, provided this does not reduce the level of service to you.
19.3 Any notices under the Agreement shall be in writing and sent by email or post to the contacts specified in the Proposal or otherwise notified in writing.
